AbesType Ltd. End User License Agreement (EULA)

This End User License Agreement (EULA) is a legal agreement between customers (either an individual or a single entity) and AbesType Ltd. (hereinafter, referred to as the “Licensor”).

This EULA covers the software products of AbesType Ltd., which includes: the software programs “Typing”, “Language Statistics” and “Reading”, and related components of each, including but not limited to: tms files; media and printed materials; and documentation; together, the “Software”.

By installing and using the Software, customers agree to be bound by the terms and conditions of this EULA. Please read carefully before proceeding. If you do not agree to these terms, please promptly erase all copies of the Software in your possession.

1. Grant of License

Subject to the terms and conditions of this EULA, the Licensor hereby grants customers a non-exclusive and non-transferable license to install and use the Software (hereinafter, referred to as the “License”).

The Software is licensed, not sold.

Customers agree to limit the number of personal computer devices on which the Software is available for use to the actual number of licenses purchased.

The License is valid for one year unless: (1) terminated pursuant to this EULA; or (2) otherwise agreed between customers and the Licensor.

2. Restrictions

Customers may not modify, adapt, reverse engineer, translate into another computer language, decompile, disassemble, or create derivative works based on the Software. 

Customers agree not to rent, lease, loan, sell, sublicense, distribute or otherwise transfer the Software to other individuals and/or entities.

Customers are not entitled to transfer their rights to other individuals and/or entities.

Customers agree not to remove any copyright, trademark, or other proprietary notices from the Software.

3. Payments

By means of the payment of the license fee, which is the purchase price for the Software, the Licensor grants to the customers a non-exclusive right to use the software on one or more computers depending on, and as described in, the License information you received. 

Customers may make as many copies as they need for archival use; that is, for the sole purpose of backing up their Software, as long as the archival copy contains the same proprietary notices as appear in this Software.

The license fee may change according to the purchased edition of the Software, and /or to possible temporarily limited and/or geographically limited promotions, and/or to possible special conditions applied to limited customers, and/or to possible other policies applied by the Licensor.

4. Intellectual property rights

The Software is protected by copyright law and international treaty provisions. Unauthorized copying of the Software is expressly forbidden.

5. Termination

When permitted by law, without prejudice to any other right, the Licensor may terminate this EULA if customers fail to comply with the terms and conditions of this EULA. Upon termination customers shall destroy all copies of the Software.

Customers may terminate this EULA at any time by destroying all copies of the Software.

6. Disclaimer of Warranties

The Software is provided “as is” and without any warranty, express or implied, by either the Licensor or anyone else who has been involved in the creation, production or delivery of the Software, including but not limited to any implied warranty of non-infringement, merchantability or fitness for a particular purpose.

The Licensor does not guaranty that the Software will function with any particular computer operating system or version thereof. 

7. Limitation of Liability

The Licensor shall not be liable to the customers on account of any claim (whether based upon principles of contract, warranty, negligence or other tort, breach of any statutory duty, principles of indemnity, the failure of any limited remedy to achieve its essential purpose, or otherwise) for any loss of profits, data, data use or for any direct, indirect, punitive, special, consequential, incidental, or exemplary damages, including but not limited to lost profits, or for any damages or sums paid by the customers to third parties.

8. Governing law

This EULA and all agreements arising from them shall be governed exclusively by Bulgarian law and the EU norms applicable in Bulgaria and the parties submit to the exclusive jurisdiction of the Bulgarian Courts. Customers consent to the jurisdiction of the Bulgarian courts for all disputes related to this EULA.

9. Severability

When permitted by law and as a general rule, the unenforceability of any single provision of this EULA shall not affect any other provision hereof.

10. Amendments

The Licensor may modify this EULA to, for example, reflect changes to the law or changes to the Software. Please, look at the EULA on this webpage regularly. If customers do not agree to the modified terms, they should discontinue their use of the Software.
